Welcome to Koda. These Terms of Use ("Terms") govern your access to and use of Koda's document management and AI assistant platform, including our website, web application, mobile applications, and all related services (collectively, the "Service"). By creating an account or using Koda, you agree to be bound by these Terms.
Please read these Terms carefully before using our Service. If you do not agree with any part of these Terms, you may not access or use Koda. We reserve the right to update these Terms at any time, and your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
These Terms of Use constitute a legally binding agreement between you ("you," "your," or "User") and Koda ("we," "us," or "our") regarding your use of the Koda platform. Koda provides a privacy-first document management system with AI-powered assistance to help individuals and teams organize, search, and interact with their documents efficiently.
By accessing or using Koda, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users of the Service, including free users, premium subscribers, and team members.
If you are using Koda on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.
To use Koda, you must meet certain eligibility requirements to ensure compliance with legal regulations and to maintain the integrity of our Service.
Age Requirements: You must be at least 18 years old to create a Koda account and use our Service. If you are between 13 and 18 years old, you may only use Koda under the supervision of a parent or legal guardian who agrees to be bound by these Terms. We do not knowingly collect personal information from children under 13 years of age.
Account Accuracy: You must provide accurate, current, and complete information during the registration process and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Legal Capacity: You must have the legal capacity to enter into a binding contract. You represent that you are not prohibited by law from using the Service and that you will comply with all applicable local, state, national, and international laws and regulations.
Prohibited Users: You may not use Koda if you have been previously banned or if your account has been terminated for violating these Terms. Creating multiple accounts to circumvent a ban is strictly prohibited.
When you create a Koda account, you accept certain responsibilities to protect your account and use the Service appropriately.
Account Security: You are solely responsible for maintaining the security of your account credentials, including your password. You must use a strong, unique password and enable two-factor authentication if available. You agree to notify us immediately of any unauthorized access to or use of your account.
Account Ownership: Your Koda account is personal to you and may not be transferred, sold, or shared with others. If you are part of a team plan, the team administrator may have access to manage team members and settings, but individual accounts remain the property of each user.
Accurate Information: You must provide truthful and accurate information when creating your account and when using the Service. Providing false information, impersonating another person or entity, or creating fraudulent accounts is prohibited and may result in immediate termination of your account.
Account Activity: You are responsible for all activity that occurs under your account, whether or not you authorized such activity.
Koda grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
Permitted Use: You may use Koda to upload, store, organize, and manage your personal or business documents. You may use our AI assistant features to ask questions about your documents, generate summaries, and receive intelligent assistance. You may create categories, folders, and tags to organize your content.
Document Ownership: You retain all ownership rights to the documents and content you upload to Koda. We do not claim any ownership over your content. However, by uploading content to Koda, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you.
Service Availability: We strive to provide reliable and continuous access to Koda, but we do not guarantee that the Service will be available at all times without interruption. We may perform scheduled maintenance, updates, or emergency repairs that temporarily limit access to the Service.
Fair Use: You agree to use the Service in a reasonable and fair manner. Excessive use that negatively impacts the Service for other users may result in temporary or permanent restrictions on your account.
To maintain a safe, secure, and lawful environment for all users, you agree not to engage in any of the following prohibited activities:
Illegal Content: You may not upload, store, share, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Intellectual Property Violations: You may not upload or share content that infringes upon the intellectual property rights of others, including copyrights, trademarks, patents, trade secrets, or other proprietary rights.
Malicious Software: You may not upload, distribute, or transmit any viruses, malware, spyware, ransomware, or other malicious code designed to harm, interfere with, or disrupt the Service or other users' devices.
Unauthorized Access: You may not attempt to gain unauthorized access to any part of the Service, other users' accounts, or our systems and networks.
Data Scraping: You may not use automated tools, bots, scripts, or scrapers to extract data from the Service without our express written permission.
Violation of any of these prohibited activities may result in immediate suspension or termination of your account.
Koda and its Service contain intellectual property that is protected by copyright, trademark, patent, trade secret, and other laws.
Koda's Intellectual Property: All content, features, functionality, and design elements of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Koda or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Trademarks: "Koda," the Koda logo, and other Koda trademarks, service marks, graphics, and logos used in connection with the Service are trademarks or registered trademarks of Koda. You may not use our trademarks without our prior written permission.
User Content License: By uploading content to Koda, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display your content solely for the purpose of operating and providing the Service.
Either you or Koda may terminate your account and access to the Service at any time, for any reason, with or without cause.
Termination by You: You may terminate your account at any time by accessing your account settings and selecting the option to delete your account. Upon termination, your access to the Service will cease immediately, and your account data will be deleted in accordance with our Privacy Policy.
Termination by Koda: We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent or illegal activity, prolonged inactivity, or unexpected technical issues.
Effect of Termination: Upon termination of your account, your right to use the Service will immediately cease. We will delete or anonymize your personal information and documents in accordance with our Privacy Policy. Active documents will be deleted within 30 days, and backup copies may persist for up to 90 days.
No Refunds: If your account is terminated for violation of these Terms, you will not be entitled to any refund of subscription fees. If you voluntarily terminate your account during an active subscription period, refunds will be handled in accordance with our refund policy.
